1. Introduction

Welcome to Sisu Talents, an online platform that connects talented freelancers (“Sellers” or “Talents”) with individuals and businesses seeking their services (“Buyers”). These Terms and Conditions (“Terms”) govern your access to and use of the Sisu Talents website, applications, and services (collectively, the “Site”).

Sisu Talents is committed to creating a professional yet friendly environment where freelancers can share their talents and be compensated fairly for their work. Our mission is to provide a safe, transparent, and efficient marketplace for digital services primarily, with provisions for physical deliverables where applicable. The platform aims to foster mutually beneficial relationships between skilled professionals and those seeking their expertise.

Please read these Terms carefully before using the Site. By accessing or using the Site, creating an account, purchasing services, or accepting these Terms and Conditions, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

These Terms constitute a legally binding agreement between you and Sisu Talents. They outline your rights and responsibilities as a user of our platform, whether you are a Buyer seeking services or a Seller offering your expertise. We have structured these Terms to be comprehensive and clear, ensuring that all aspects of using our platform are addressed and understood by all parties involved.

Ongoing, long-term collaborations between Talents and Buyers are also governed by our separate Contracts – Terms & Conditions, which work together with these Terms.

2. Eligibility Requirements

2.1. Age requirement

To use the Site, you must be at least 18 years of age or the age of legal majority in your country of residence, whichever is higher. By using the Site, you represent and warrant that you meet this age requirement. This age restriction is in place because users of our platform enter into legally binding contracts when purchasing or selling services, and minors typically do not have the legal capacity to enter into such agreements.

2.2. Geographical restrictions

The Site is currently available only to users located in European Economic Area member states. We may expand our services to other regions in the future, and any such changes will be reflected in an updated version of these Terms. This geographical restriction exists due to regulatory compliance requirements and our current operational capacity. We are committed to providing high-quality service within our current geographical scope before expanding to other regions.

By registering or using the platform, you confirm that you are not a U.S. citizen, U.S. tax resident, or otherwise subject to tax obligations under the Foreign Account Tax Compliance Act (FATCA).

We reserve the right to reject, suspend, or terminate accounts that do not comply with this eligibility requirement.

2.3. Sanctions and trade restrictions

The Site is not available to users who are subject to economic sanctions or trade restrictions imposed by the United States, European Union, or any other applicable jurisdiction. By using the Site, you represent and warrant that you are not subject to such sanctions or restrictions. Sisu Talents is committed to complying with all applicable international laws and regulations governing trade and commerce.

3. Key Terms

3.1. Definitions

Throughout these Terms, we use certain defined terms. For clarity, these terms have the following meanings:

  • “Sisu Talents”, “we”, “us”, or “our” refers to the Sisu Talents platform, its owners, operators, and affiliates.
  • “Buyer” or “Client” refers to any person or company who purchases services from Sellers on Sisu Talents.
  • “Seller” or “Talent” refers to any freelancer who offers their services on Sisu Talents.
  • “Task” or “Talent Task” refers to the services offered by Sellers on Sisu Talents.
  • “Listing” refers to a Seller’s description page of a Task offered on Sisu Talents. A Listing may take one of several Listing Types (see Section 6.2).
  • “Listing Type” refers to the pricing and delivery structure of a Listing, being one of: Fixed Price, Per Word, Hourly, or Portfolio.
  • “Package” or “Tier” refers to one of the pricing levels (for example, Basic, Standard, or Premium) that a Seller may offer within a single Fixed Price Listing.
  • “Order” refers to a Buyer’s purchase of a specific Task from a Seller.
  • “Account” refers to a registered user’s profile on Sisu Talents.
  • “Content” refers to all information, data, text, software, music, sound, photographs, graphics, videos, messages, or other materials submitted, posted, or displayed on the Site.
  • “Deliverable” refers to the final product or service provided by a Seller to a Buyer upon completion of an Order.
  • “Dispute” refers to a formal disagreement between a Buyer and Seller regarding an Order or a contract invoice, which may require intervention from Sisu Talents.
  • “Extras” refers to additional services or features that can be added to a base Task for an additional fee.
  • “Feedback” refers to comments, suggestions, or ideas provided by users regarding Sisu Talents or its services.
  • “Job Post” refers to a posting by a Buyer seeking a specific service from Sellers.
  • “Custom Offer” refers to a tailored proposal from a Seller to a Buyer for a specific project or requirement.
  • “Contract” refers to an ongoing service agreement between a Buyer and a Seller, which may be hourly or word-based, as governed by our separate Contracts – Terms & Conditions.
  • “Credits” and “Wallet” refer to the promotional balance a user may hold and apply toward purchases on the Site (see Section 18).
  • “Alert” refers to a saved subscription that notifies a user when a matching Job Post or Talent Listing is published (see Section 19).
  • “Vacation Mode” refers to a feature that allows a Talent to set periods of unavailability (see Section 10).

4. Account Registration and Security

4.1. Account creation

To access certain features of the Site, you must register for an account. When registering, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activity that occurs under your account.

The registration process requires you to provide certain personal information, which may include your name, email address, and other contact details. You must ensure that all information provided during registration is truthful and up-to-date. Providing false information during registration constitutes a violation of these Terms and may result in the termination of your account.

4.2. Account security

You are solely responsible for safeguarding your login credentials and for any actions taken through your account. If you suspect unauthorized access to your account, you must notify Sisu Talents immediately. We recommend using strong, unique passwords and enabling any additional security features that may be available.

To enhance the security of your account, consider implementing the following practices:

  • Create a password that is at least 12 characters long and includes a mix of uppercase and lowercase letters, numbers, and special characters.
  • Avoid using the same password across multiple platforms or services.
  • Regularly update your password, especially after suspected security incidents.
  • Do not share your password with anyone, including Sisu Talents staff (our team will never ask for your password).
  • Be cautious when accessing your account from public computers or networks.
  • Log out of your account when using shared devices.

4.3. Account limitations

Each person or business entity may maintain only one active Sisu Talents account. Creating multiple accounts may result in the suspension or termination of all associated accounts. This limitation helps maintain the integrity of our marketplace and prevents the manipulation of our rating and review systems.

In some cases, we may permit a user to have separate personal and business accounts, but explicit permission must be obtained from Sisu Talents support before creating a second account. Without such permission, the creation of multiple accounts will be considered a violation of these Terms.

A single Account may act as a Buyer, a Talent, or both, depending on the role selected by the user. Where a user acts in both capacities, the relevant Buyer and Seller provisions of these Terms apply to the corresponding activity.

4.4. Account verification

To ensure the security and integrity of our platform, we may require users to verify their identity. All Talents and Buyers may be verified before they can publish Listings, post jobs, or place Orders. This verification process may include providing government-issued identification documents or other forms of verification. The specific requirements for verification will be communicated to you if and when verification is necessary.

Verification may be required in various situations, including but not limited to:

  • Before publishing a Listing or accepting Orders
  • When reaching certain earnings or spending thresholds
  • When changing payment methods
  • When suspicious activity is detected
  • When required by applicable laws or regulations

Failure to complete the verification process when requested may result in limitations being placed on your account or, in some cases, account suspension.

5. Seller Terms

5.1. Service offerings

As a Seller on Sisu Talents, you may create and offer various Tasks representing your services. You have the freedom to set your own pricing, subject to the minimum requirements specified in these Terms. You may offer any services that comply with our Terms and do not violate our prohibited content policies.

When creating a service offering, you should provide a detailed description of what you will deliver, the timeframe for delivery, any requirements or prerequisites from the Buyer, and any limitations or exceptions to the service. Clear and honest communication about your services helps set appropriate expectations and reduces the likelihood of disputes.

5.2. Minimum pricing

Minimum pricing depends on the Listing Type (see Section 6.2):

  • Fixed Price Listings: at least €10 per Task or, where the Listing offers Packages, at least €10 for the lowest-priced Package.
  • Per Word Listings: the Seller sets a price per word; the Buyer is charged the per-word rate multiplied by the word count they enter.
  • Hourly Listings: at least €7 per hour.
  • Portfolio Listings: no fixed price is set, as these Listings invite the Buyer to contact the Talent for a quote or Custom Offer.

Sisu Talents reserves the right to adjust these minimum pricing requirements at any time with reasonable notice to Sellers. These minimum pricing requirements are designed to ensure that all services offered on our platform maintain a certain standard of quality and that Sellers receive fair compensation for their work.

When setting your prices, consider factors such as:

  • The complexity and scope of the service
  • The time required to complete the service
  • Your level of expertise and experience
  • Market rates for similar services
  • Any additional costs or expenses associated with providing the service

5.3. Commission structure

Sisu Talents charges a 5% commission on all completed Orders and contract invoices. This commission is automatically deducted when the Buyer makes a payment for the Order or invoice. This commission helps support the operation and maintenance of the Sisu Talents platform, including payment processing, dispute resolution, customer support, and ongoing development of features to improve the user experience.

A matching 5% service fee is charged to the Buyer on top of the Task price. Applicable VAT is added to both fees automatically according to law. For a worked example, see Section 17.2. There are no subscription fees or listing fees on Sisu Talents — we only earn when a transaction is successfully completed.

5.4. Marketing restrictions

Sellers may not promote their Tasks, Seller Page, or any Sisu Talents content via the Google Ads platform or through methods that violate any laws, regulations, or third parties’ terms of service. Any marketing activity that negatively affects Sisu Talents’ relationships with users or partners is strictly prohibited.

While we encourage Sellers to promote their services through various channels, such promotion must be conducted ethically and in compliance with all applicable laws and platform policies. Prohibited marketing practices include, but are not limited to:

  • Misleading or false advertising
  • Spamming potential clients
  • Impersonating Sisu Talents or claiming official affiliation beyond being a registered Seller
  • Using competitor names or trademarks to draw traffic to your services
  • Engaging in any form of deceptive marketing practices

5.5. Ratings and reviews

Buyers may rate and review Sellers upon completion of an Order, and Sellers may rate and review Buyers. These ratings and reviews are an important part of building trust within our community. Sisu Talents reserves the right to suspend or terminate accounts with consistently low ratings or numerous negative reviews. The full review system, including how and when reviews become visible, is described in Section 12.

Sellers are encouraged to maintain high service standards to earn positive reviews. However, artificially manipulating your ratings or reviews through any means, including creating fake Buyer accounts or offering incentives for positive reviews, is strictly prohibited and may result in account termination.

5.6. Insurance requirements

Sellers are responsible for obtaining appropriate general liability insurance with coverage sufficient to address all risks associated with the performance of their services. We recommend consulting with an insurance professional to determine the appropriate level of coverage for your specific activities.

Depending on the nature of your services, you may need to consider additional types of insurance, such as:

  • Professional liability insurance
  • Errors and omissions insurance
  • Cyber liability insurance
  • Product liability insurance (if providing physical products)
  • Business property insurance

While Sisu Talents does not require proof of insurance for all Sellers, we reserve the right to request verification of insurance coverage for certain high-risk service categories or in response to specific incidents.

5.7. Confidentiality obligations

Sellers agree to maintain the confidentiality of all Buyer information and to protect Buyers’ confidential information with the same degree of care they use to protect their own confidential information. This obligation continues even after the completion of an Order or the termination of the Seller’s account.

Confidential information may include, but is not limited to:

  • Business strategies and plans
  • Unpublished creative works
  • Personal or identifying information
  • Financial information
  • Proprietary processes or methodologies
  • Trade secrets or other intellectual property

Sellers must implement appropriate measures to safeguard Buyers’ confidential information, which may include password protection of files, secure storage of physical documents, limited access to sensitive information, and secure disposal of unnecessary materials. Any breach of confidentiality may result in legal action by the affected Buyer and/or termination of the Seller’s Sisu Talents account.

5.8. Business sellers

All sellers on Sisu Talents, whether individuals or businesses, are required to provide necessary information in compliance with applicable regulations, including the EU Directive on Administrative Cooperation (DAC7) regarding reporting obligations of digital platform operators.

5.8.1. Individual sellers

If you are selling as an individual, you must provide:

  1. Full name and address;
  2. Tax Identification Number (TIN);
  3. Email address;
  4. VAT number (if applicable); and
  5. Copy of an identification document (e.g., identity card, passport) or other electronic identification as required.

5.8.2. Business sellers

If you declare yourself to be selling on Sisu Talents for purposes relating to your primary job or profession, you will be considered a “Business Seller” and must provide:

  1. Full name, address, telephone number, and email address;
  2. Company registration number;
  3. VAT number (if applicable);
  4. Payment details;
  5. Trade register information in which you are registered (if applicable);
  6. Self-certification that you only offer products or services that comply with European Union applicable regulations; and
  7. Upon request, additional documents that prove the information provided.

5.8.3. VAT considerations

Sellers are solely responsible for ensuring full compliance with all applicable tax, VAT, and fiscal regulations in their country of residence or the jurisdiction in which their business is registered. This includes, but is not limited to, maintaining accurate and up-to-date VAT registration details. Where applicable, VAT numbers are validated against the EU VIES system.

You must provide valid and current VAT information, where applicable, prior to using the platform for any commercial activity. Failure to provide accurate VAT information within a reasonable timeframe may result in account restrictions, the suspension of selling privileges, or the termination of your account. This requirement supports compliance with relevant laws, including tax legislation and consumer protection regulations applicable to transactions within the European Union and other jurisdictions.

Sisu Talents offers a service that facilitates the application or removal of VAT on automatically generated invoices between buyers and sellers, based on the information provided by the seller. These invoices are generated for user convenience only and do not constitute formal tax advice or official accounting documentation. Sisu Talents does not verify the accuracy of the VAT-related information submitted by sellers and assumes no responsibility for any tax liabilities arising from incorrect or incomplete information.

Furthermore, Sisu Talents is not a tax advisor, accountant, or legal representative. We do not file VAT returns or tax declarations on behalf of any user under any circumstances. Users are encouraged to consult with qualified tax professionals to ensure they meet their personal or business tax obligations.

While we strive to ensure the correct generation of invoices, Sisu Talents disclaims all liability for any errors, omissions, or discrepancies in these automatically produced documents. If you identify an error or discrepancy, you are required to notify us immediately. Failure to do so may result in account limitations or closure, particularly where such failure leads to non-compliance with tax regulations or misuse of the platform.

Business sellers are additionally responsible for meeting all legal obligations relevant to their operations, including the proper issuance of invoices, transparency with consumers, and adherence to applicable consumer protection and e-commerce laws.

5.9. Tax and legal compliance

You are solely responsible for complying with all applicable tax laws and regulations in your jurisdiction. This includes reporting and paying any taxes or other financial obligations that may arise from your activities on Sisu Talents. We recommend consulting with a qualified tax professional to ensure compliance with your local tax requirements.

As a user of Sisu Talents, you are also responsible for ensuring that your use of the platform complies with all applicable laws and regulations in your jurisdiction. This includes, but is not limited to, laws relating to online commerce, intellectual property rights, consumer protection, and data privacy. Ignorance of the law does not excuse non-compliance, and Sisu Talents bears no responsibility for users’ legal violations.

6. Talent Tasks and Listings

6.1. Creating a listing

Sellers may post an unlimited number of listings on Sisu Talents, subject to compliance with these Terms and our community guidelines. To create a listing, Talents must have a verified account and provide all required information, including full name, full address, Tax Identification Number (TIN) or company registration number, and VAT number (if applicable). All listings are subject to review before being posted on the Site.

All listings must accurately represent the Seller’s capabilities and the services being offered. Misrepresenting your skills, experience, or the scope of your services constitutes a violation of these Terms and may result in the removal of the listing or suspension of your account.

When creating a listing, you should provide a comprehensive description of your service, including:

  • A clear title that accurately reflects the service offered
  • A detailed description of what is included in the service
  • Expected delivery timeframes
  • Any requirements or prerequisites from the Buyer
  • Your relevant qualifications or experience
  • Examples of your previous work (if applicable)
  • Any limitations or exclusions to the service

6.2. Listing Types

Sisu Talents supports four Listing Types so that Talents can present their services in the way that best fits their work. Each Listing Type behaves differently in terms of pricing, ordering, and delivery. You choose a single Listing Type for each Listing when you create it.

a) Fixed Price. The Talent sets a fixed price for a defined Task. A Fixed Price Listing may be offered as a single price, or organized into multiple Packages (Tiers) — for example Basic, Standard, and Premium — each with its own price, scope, delivery time, and number of revisions. The Buyer selects a Package and pays upfront, and a delivery countdown begins in accordance with Section 9. The minimum price is €10 (per Package where Packages are used).

b) Per Word. The Talent sets a price per word. When ordering, the Buyer enters the required word count and the total price is calculated automatically (per-word rate × word count). Per Word Listings have a defined delivery time and are paid upfront, like Fixed Price Listings. This type is designed for writing, translation, transcription, and similar word-based services.

c) Hourly. The Talent showcases an hourly rate (minimum €7 per hour) so that Buyers can understand their cost of engagement. Hourly Listings are not purchased directly through a fixed checkout; instead, the Buyer contacts the Talent to book a consultation or scope the work, which typically leads to a Custom Offer (Section 15) or an ongoing Contract (Section 13). Hourly Listings do not carry a fixed delivery countdown or preset revisions.

d) Portfolio. The Talent showcases samples of their previous work without a set price. Portfolio Listings are not purchased directly; instead, the Buyer contacts the Talent for a quote, which is then delivered as a Custom Offer (Section 15). Portfolio Listings do not carry a fixed delivery countdown or preset revisions.

Any Listing Type may include showcase items (samples of previous work) in addition to the required cover photo. Regardless of Listing Type, all pricing, scope, and delivery information presented in a Listing must be accurate and honored by the Talent.

6.3. Listing requirements

Each listing must include at least one image to serve as a cover photo. Listings may also include a profile video and portfolio (showcase) samples. All visual content must accurately reflect the actual quality of the service being offered.

Images and videos used in your listings should be:

  • Of high quality and professionally presented
  • Directly relevant to the service being offered
  • Created by you or used with proper permission and attribution
  • Free from offensive, inappropriate, or misleading content
  • Compliant with Sisu Talents’ content policies

When organizing a Fixed Price Listing into multiple Packages (such as Basic, Standard, and Premium), you should clearly communicate the differences between each Package, including variations in service scope, delivery time, revisions, or other features that distinguish one Package from another.

6.4. Task extras

Sellers may offer additional services or features (“Extras”) on top of their base listings. These Extras must comply with the same rules and restrictions that apply to base listings. If purchased Extras require additional time for completion, Sellers have the right to extend the delivery timeline accordingly.

Extras should be related to the main Task and provide additional value to the Buyer. Common types of Extras include:

  • Expedited delivery
  • Additional revisions
  • Higher quality or enhanced deliverables
  • Extended usage rights or licenses
  • Additional formats or variations of the deliverable
  • Supplementary services that complement the main listing

When creating Extras, you should clearly communicate what each Extra entails, its price, and any impact it might have on the delivery timeline. Sellers should only offer Extras that they are capable of delivering with the same level of quality as their main listing.

6.5. Prohibited content

Sisu Talents reserves the right to remove listings and/or suspend user accounts for violations of these Terms. Prohibited content includes, but is not limited to:

  1. Illegal or fraudulent services; b) Content that infringes upon intellectual property rights, including copyright and trademark infringement; c) Adult-oriented, pornographic, inappropriate, or obscene content; d) Intentional copies of other Sellers’ listings; e) Spam, nonsense, violent, or deceptive listings; f) Tasks that are misleading to Buyers or other users; g) Reselling of regulated goods; h) Offering to prepare academic works on behalf of Buyers; i) Low-quality services or deliverables; j) Content promoting prohibited activities or violating third-party terms of service; k) Services that facilitate discrimination, harassment, or hate speech; l) Services that enable or promote illegal activities; m) Services that may harm minors; n) Services that involve the creation of fake documents, reviews, or testimonials; o) Services that involve the creation or distribution of malware or other harmful software; p) Services that involve unauthorized scraping, data mining, or data harvesting; q) Services that involve the manipulation of rankings, ratings, or feedback systems.

6.6. Listing moderation

While Sisu Talents does not manually review each listing prior to publication, we actively monitor the platform and will remove any content that violates our Terms or community standards when we become aware of such violations. Users are encouraged to report any Task that appears to violate these Terms using the reporting tools provided on the Site.

Our moderation approach involves:

  • Regular automated scanning of listing content for prohibited terms and patterns
  • Review of user reports regarding potentially violating content
  • Periodic manual reviews of selected listings, especially in high-risk categories
  • Investigation of listings associated with disputed Orders or customer complaints

If your listing is flagged or removed, you will receive a notification explaining the reason for the action. Depending on the nature and severity of the violation, you may have the opportunity to modify your listing to bring it into compliance with our Terms, or the listing may be permanently removed without the option for revision.

Publication of a Listing may also be withheld where the Talent has not completed required onboarding steps, such as payment (Stripe Connect) onboarding or tax information (see Section 6.7).

6.7. Visibility and onboarding gates

A Listing may be approved but remain hidden from Buyers until the Talent has completed the required onboarding steps. In particular, Listings are not visible or purchasable until the Talent has connected a valid Stripe payout account and provided complete tax information (including a valid TIN, as required under DAC7). Where a Listing is hidden for these reasons, the Talent will be notified and told which step to complete.

6.8. Physical deliverables

While Sisu Talents is primarily a platform for digital services, some listings may involve the delivery of physical items. In such cases:

  1. The Seller is responsible for all shipping arrangements and costs unless explicitly stated otherwise in the listing description; b) The Buyer is responsible for providing a valid shipping address; c) While tracking numbers are not mandatory, they may be required in the event of a dispute; d) Sisu Talents does not handle, track, or process physical deliveries in any way; e) Sellers and Buyers assume all risks associated with the shipment and delivery of physical items.

Sellers offering services that include physical deliverables should clearly communicate shipping policies in their listing descriptions, including estimated shipping times, shipping methods used, any geographical restrictions or limitations, responsibility for customs duties or import fees, policies regarding lost or damaged items, and return policies, if applicable.

7. Buyer Terms

7.1. General obligations

As a Buyer on Sisu Talents, you agree to comply with these Terms and to interact respectfully with Sellers. You may not attempt to circumvent the Sisu Talents platform by taking transactions off-site unless specifically authorized to do so through a designated feature of the Site.

Buyers are expected to:

  • Communicate clearly and respectfully with Sellers
  • Provide necessary information and materials for Sellers to complete their Tasks
  • Respond to Seller questions or requests for clarification in a timely manner
  • Review deliverables thoroughly before accepting or requesting revisions
  • Pay for services in accordance with these Terms
  • Leave honest and fair reviews based on their experience
  • Report any issues or concerns through the appropriate channels

7.2. Job posts

Buyers may post Job Posts to find Talents for specific needs, and may also use our intelligent search to assemble a whole team where required. All Job Posts and requests must comply with these Terms, our community guidelines, and applicable laws and regulations. Job Posts and Custom Offers are described further in Section 15.

When creating a Job Post, you should provide:

  • A clear and detailed description of the service you need
  • Any specific requirements or qualifications the Seller should have
  • Your budget range
  • Your expected timeline
  • Any additional information that will help Sellers understand your needs

Job Posts should not seek services that would violate these Terms if offered as a Task. Sisu Talents reserves the right to remove any Job Post that seeks prohibited services or otherwise violates our Terms or community guidelines.

7.3. Payment compliance

When placing an Order on the platform, you may only use funds obtained from legal sources that are not connected, directly or indirectly, to any unlawful or fraudulent activities. Any attempt to use Sisu Talents for money laundering or other financial crimes is strictly prohibited.

Buyers must ensure that their payment methods are valid and authorized for use. Using payment methods without proper authorization (such as stolen credit cards or unauthorized bank accounts) is illegal and will result in immediate account termination and potential legal action.

7.4. Feedback and reviews

Sisu Talents may use Buyer reviews as part of our marketing efforts. By submitting a review, you grant Sisu Talents a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute the review in any existing or future media.

Reviews should be honest, fair, and based on your actual experience with the Seller. Reviews containing offensive language, personal attacks, false allegations, or other content that violates our Terms may be removed. Threatening to leave a negative review to extract additional services or benefits from a Seller is prohibited and may result in account limitations or termination.

8. Purchasing Services

8.1. Fees and taxes

In addition to the Seller’s Task fee, Buyers will be charged a 5% service fee and any applicable taxes. These additional charges will be clearly displayed before checkout. For detailed information about payment terms, please refer to Section 17 of these Terms.

The service fee helps support the Sisu Talents platform, including secure payment processing, buyer protection policies, customer support services, platform development and maintenance, and dispute resolution services.

Applicable taxes may include Value Added Tax (VAT) or other taxes required by your jurisdiction. Sisu Talents calculates and collects these taxes in accordance with applicable laws and regulations. The tax amount will depend on your location, the Seller’s location, and the nature of the service being purchased.

8.2. Payment methods

All payments must be made through the payment methods approved and provided on the Sisu Talents platform. Offering or accepting payment outside of the Sisu Talents platform is strictly prohibited. If a Seller suggests an alternative payment method, please report this to our support team immediately.

Approved payment methods may include credit and debit cards, bank transfers, digital wallets, and other secure payment methods integrated with our platform. Where you hold Credits in your Wallet, these may be applied toward eligible purchases as described in Section 18.

When you provide payment information, you represent and warrant that you are authorized to use the payment method, that the information you provide is accurate and complete, that you will keep it current, and that you authorize Sisu Talents to charge your selected payment method for Orders placed on the platform.

8.3. Order placement

When you place an Order, you are entering into a legally binding agreement with the Seller to purchase their services as described in the Task listing or Custom Offer. Before placing an Order, you should carefully review the Task description and deliverables, the delivery timeline, any requirements you must fulfill, the total price (including service fees and taxes), and any additional terms or conditions specified by the Seller.

Once you place an Order, you cannot cancel it unilaterally unless the Seller has violated these Terms or failed to deliver as promised. If you need to cancel an Order for other reasons, you must contact the Seller to request cancellation, which the Seller may accept or decline at their discretion.

9. Orders

9.1. Order creation

An Order is created once payment is confirmed. The delivery timeline begins in accordance with Section 9.2, and the Seller is notified via email and on-site message. This notification includes all relevant details about the Order, including the specific services purchased, any Extras added, the agreed-upon delivery date, and any instructions or materials provided by the Buyer.

When an Order is created, both the Buyer and Seller are bound by these Terms and by any additional terms specified in the Task description or Custom Offer. Both parties are expected to fulfill their respective obligations in good faith.

9.2. Delivery time and the delivery timer

The delivery time for a Task is specified on the listing page. The delivery countdown is calculated using the Talent’s working hours: it begins only when the Talent is next available to work. For example, if an Order with a 3-day delivery time is placed on Wednesday at 19:00, and the Talent’s next working time is Friday at 09:00, the delivery countdown will begin on Friday at 09:00.

The delivery timer automatically pauses while an Order is awaiting the Buyer’s review and while a Dispute is open, and it is extended during a Talent’s Vacation Mode as described in Section 10. Sellers should keep their working hours and availability up to date so that Buyers understand when delivery timelines will run.

Both Buyers and Sellers should recognize that delivery times are estimates and may be affected by various factors, including the complexity of the Task, the Seller’s workload, and the timeliness of the Buyer’s responses.

9.3. Delivery process

Sellers must deliver the agreed-upon services within the specified delivery timeframe. Once the Seller completes the work, they must submit the deliverables through the Order page. During delivery, Sellers should keep the Buyer informed of progress, communicate any potential delays as soon as they become apparent, request any additional information needed in a timely manner, and deliver all promised deliverables in the format specified in the Task description. Buyers should respond promptly to Seller inquiries, provide requested information or materials in a timely manner, monitor Order messages, and review deliverables thoroughly upon receipt.

9.4. Completion and review

After the Seller delivers, the Buyer has the opportunity to review the deliverables. If the deliverables do not meet the agreed-upon requirements, the Buyer should promptly communicate their concerns to the Seller and request revisions where the Listing includes them. Once the Buyer is satisfied, they should mark the Order as complete, at which point the funds will be released to the Seller after any applicable payout delay, and the transaction will be considered finalized. If the Buyer does not act within a set period after delivery, the Order may be completed automatically. After completion, the Buyer and Seller may review each other as described in Section 12.

9.5. Order communication and proof

Only communication, files, and deliveries exchanged through the Sisu Talents platform can be used as valid proof in a Dispute. Messages, files, agreements, and deliverables must be kept inside Sisu Talents. Any communication or work delivered outside the platform (for example, WhatsApp, email, Zoom chat, Slack, or private documents) cannot be accepted as evidence. For your own protection, always keep important updates, instructions, decisions, and deliveries inside Sisu Talents.

9.6. Limitation of liability for orders

Sisu Talents is not liable or responsible for any damages that may occur from using the Site, using the content, or transferring any files. Users are responsible for exercising due diligence and scanning any downloads for viruses and malware before opening or installing them. This limitation extends to technical problems or failures, the actions or omissions of Buyers or Sellers, the quality or suitability of delivered services, disputes between users, the content or conduct of any third party, loss of data, and any indirect, incidental, special, consequential, or punitive damages arising from use of the Site.

10. Vacation Mode and Availability

Talents may set one or more Vacation Mode periods to indicate when they are unavailable. Vacation Mode helps set clear expectations for Buyers and protects Talents from missing delivery deadlines while away.

  • Blocking new orders. For each Vacation Mode period, a Talent may choose whether their Listings remain purchasable. If the Talent chooses to block orders, their Listings become non-purchasable for the duration of that period, in the same way that missing payout or tax onboarding makes a Listing non-purchasable.
  • Delivery extensions. If a Talent keeps their Listings open during a vacation, any Order whose delivery window overlaps the vacation period is automatically extended by the number of overlapping calendar days, so that vacation time does not count against the delivery deadline.
  • Notice to Buyers. While a Vacation Mode period is active, a notice may be displayed on the Talent’s Listings and profile so that Buyers are aware of the Talent’s availability.
  • Notifications. On-site notifications are always delivered in real time. A Talent may choose to receive new-order emails either immediately or as a single summary when their vacation ends; this preference does not affect other order-related emails.

Talents remain responsible for all active Orders and Contracts during a Vacation Mode period, subject to the delivery extensions described above.

11. Disputes and Refunds

11.1. Resolving issues directly

If a Buyer is not satisfied with the provided service or deliverables, they should first attempt to resolve the issue directly with the Seller through the Sisu Talents messaging system. Many issues can be resolved quickly and amicably this way.

11.2. Opening a dispute

If a satisfactory resolution cannot be reached, a party may open a formal Dispute through Sisu Talents. Disputes apply both to standard Orders and to weekly Contract invoices (see Section 13 and the Contracts – Terms & Conditions).

  • For standard Orders, a Dispute may be opened by either party once the Order is at least a minimum age (currently 24 hours) and while the Order is in a disputable state. Contract invoice disputes may be opened by the Client before the invoice payment deadline.
  • When a Dispute is opened, normal Order actions (such as delivery, acceptance, and the delivery timer) are paused, and the parties continue their conversation within the Order’s chat, which our support team can review if needed.
  • Only on-platform communication, files, and deliverables are considered as evidence (see Section 9.5).

11.3. Self-resolution and escalation

After a Dispute is opened, the parties are given a period (currently 3 days) to resolve it between themselves. During this period the responding party may offer a resolution, including a refund. If the parties cannot agree, either party may escalate the Dispute to Sisu Talents (“Summon Sisu”). A member of our team will then review the Order details and the on-platform communication, give both parties an opportunity to present their perspective, and issue a decision. The decision made by Sisu Talents is final and binding on both parties.

11.4. Refunds

Where a refund is granted, whether by agreement between the parties or by a decision of Sisu Talents, it is handled as follows:

  • Full refund. The Buyer is made whole: the listing price, listing VAT, both service fees, and the VAT on those fees are returned, and the related invoices are voided. The Seller’s earning for that Order is cancelled.
  • Partial refund. A partial refund is taken from the listing price only. The listing VAT is recalculated proportionally and returned. The service fees and the VAT on those fees remain payable, as they reflect the platform service already provided.

A Talent who is the subject of a complaint may choose to grant a full refund immediately or to offer a partial refund, which the Buyer must accept before it takes effect. Refund mechanics for weekly Contract invoices are described in the Contracts – Terms & Conditions.

11.5. Platform role

Sisu Talents provides Dispute and refund tools to help Buyers and Sellers resolve issues fairly, but it is not a party to the underlying agreement between them and does not guarantee the quality of any work. Our determinations are based on the information and on-platform evidence provided by the users.

12. Reviews, Ratings, and Portfolio

12.1. Two-way reviews

Sisu Talents uses a two-way review system. After an Order is completed, the Buyer may review the Talent and the Talent may review the Buyer. Reviews help maintain the quality of our marketplace and provide valuable information to the whole community. Both Talents and Buyers have public profiles that display the reviews they have received.

Reviewers rate their experience on a scale from 1 to 5 stars overall, and may also rate specific aspects of the experience. When a Buyer reviews a Talent, the aspects include quality, communication, timeliness, professionalism, and value. When a Talent reviews a Buyer, the aspects include communication, politeness, honesty, and fairness. A written comment is optional; star ratings always contribute to the overall average even when no comment is left.

12.2. Visibility and fairness rules

To keep reviews honest and to protect users from retaliation, the following rules apply:

  • Anonymity threshold. A profile’s reviews (both the aggregate rating and individual review cards) become publicly visible only once that profile has received a minimum number of reviews. Below that threshold, the profile owner can still see their own reviews, but they are not shown publicly. This prevents a user from easily identifying who left a particular rating when there are only a few.
  • Optional written comments. Only reviews that include a written comment appear as individual cards on a profile. Star-only reviews still count toward the overall average. This lets users leave an honest rating without being required to publicly attach a written complaint to their name.
  • Reciprocate to unlock. A user cannot read the content of a review left about them for a given Order until they have submitted their own review for that same Order. This encourages both sides to review independently and honestly rather than reacting to each other.

Sisu Talents does not remove reviews unless they violate these Terms. Manipulating reviews through any artificial means — including creating fake accounts, offering incentives for positive reviews, coercion, or exchanging reviews with other users — is strictly prohibited and may result in the removal of affected reviews, account limitations, or account termination.

12.3. Recognition badges

Profiles that consistently receive strong reviews may automatically earn recognition badges (for example, indicators of top-rated Talents or reliable Clients). These badges are calculated from aggregate review data once a profile meets the applicable review threshold, and Sisu Talents may adjust the qualification criteria at its discretion.

12.4. Private feedback

When leaving a review, users may include private feedback intended only for Sisu Talents, for example to flag a concern that they do not wish to state publicly. Private feedback is reviewed by our team and is used to keep the marketplace safe and fair.

12.5. Portfolio usage

Sellers may use parts of their deliverables as samples in their portfolio (showcase) unless agreed otherwise with the Buyer. When displaying work samples, Sellers must ensure that the Buyer cannot be identified unless the Buyer has explicitly granted permission for such identification. Sellers should remove or anonymize identifying information, obtain explicit permission before using a Buyer’s name, logo, or brand identity, respect any confidentiality or non-disclosure agreements, and present the work honestly. If a Buyer requests that their project be removed from a portfolio, the Seller should comply promptly.

13. Contracts

Talents and Buyers may enter into ongoing Contracts through the platform for recurring services and long-term collaboration, without creating an individual Order for each Task. Contracts can be either hourly (based on tracked hours) or word-based (based on per-word pricing).

Sisu Talents acts solely as a facilitator, providing tools to streamline collaboration and to automate administrative tasks such as time tracking, word-count submissions, weekly invoicing, and payment. All invoices are generated automatically based on the data submitted by the Talent. A 5% platform commission is charged to both the Talent and the Buyer on all Contract payments, and applicable VAT is added according to law.

Sisu Talents is not a party to the Contract between the Talent and the Buyer and does not guarantee the quality of work delivered or ensure payment beyond the platform’s automated processes. Contracts are governed in full by our separate Contracts – Terms & Conditions, which apply in addition to these Terms.

14. Job Posts and Custom Offers

14.1. Job posts

Buyers can post Job Posts on the Site to find Talents for specific projects, and can use the intelligent search to help build a team. Talents can respond to Job Posts with offers, and Buyers can choose the best candidate from the Talents who applied. These transactions follow the same rules and processes as standard Listings but are initiated by the Buyer rather than the Talent. When posting a Job Post, Buyers should clearly describe the services they need, specify their budget range, indicate their desired timeline, and outline any specific requirements or qualifications.

14.2. Custom offers

Talents may send Custom Offers to potential Buyers via the messaging system. Custom Offers function similarly to standard Listings but are specifically tailored to the individual Buyer’s needs. Custom Offers are commonly used to respond to Job Posts, to quote for Hourly or Portfolio Listings, or to scope bespoke work. A Custom Offer should include a clear description of the services, the specific deliverables, the delivery timeline, the total price (including any Extras), and any requirements or limitations. Once the Buyer accepts a Custom Offer, it becomes a binding Order subject to these Terms.

15. Purchasing Protection and Off-Platform Activity

Sisu Talents does not offer any protection for users who communicate or conduct transactions outside of the Sisu Talents platform. When you communicate or transact outside of Sisu Talents, we cannot verify the identity of the other party, monitor communications for harassment or fraud, provide dispute resolution services, protect Buyers through our refund policies, protect Sellers through our payment verification processes, or enforce our Terms or community standards. For these reasons, we strongly discourage any off-platform communication or transactions.

16. User Behavior and Protection

16.1. Community standards

Sisu Talents is designed to be a professional yet friendly environment where freelancers can share their talents and receive fair compensation. All users are expected to conduct themselves in a respectful and professional manner at all times, with honest and transparent communication, ethical business practices, compliance with applicable laws, mutual respect for intellectual property, and constructive resolution of disagreements.

16.2. Prohibited behavior

The following behaviors are strictly prohibited on Sisu Talents:

  1. Sharing contact information (email, phone number, third-party messaging applications, or any other form of contact) outside of the Sisu Talents messaging system; b) Rude, abusive, or violent behavior; c) Threatening or discriminatory behavior; d) Soliciting or accepting payments outside of the Sisu Talents platform; e) Selling or transferring user accounts; f) Creating multiple accounts; g) Impersonating another person or entity; h) Attempting to manipulate the Sisu Talents system or marketplace in any way; i) Harassment of any kind; j) Bullying, intimidation, or coercion; k) Publishing or threatening to publish personal or private information about other users; l) Making false claims about services, qualifications, or credentials; m) Engaging in deceptive practices to manipulate rankings, ratings, or visibility; n) Interfering with another user’s ability to conduct business on the platform; o) Violating the intellectual property rights of others; p) Unauthorized use of Sisu Talents branding, trademarks, or copyrighted material; q) Attempting to circumvent the Sisu Talents payment system; r) Using the platform to distribute malware, viruses, or other harmful code; s) Engaging in any activity that undermines the integrity of the Sisu Talents marketplace.

Violations of these prohibitions may result in warnings, account limitations, or account termination, depending on the severity and frequency of the violations.

16.3. Reporting violations

If you believe a user is violating these Terms or our community standards, please report this behavior using the reporting tools provided on the Site or by contacting our support team. When reporting a violation, please provide the username of the person you are reporting, the specific behavior or content you believe violates our Terms, any relevant evidence, and a brief description of how the behavior impacts you or others. All reports are confidential, and we will not disclose your identity to the reported user without your explicit permission.

17. Payments and Financial Terms

17.1. Account creation

Creating an account on Sisu Talents is free. There are no registration fees or subscription charges to join our platform, and there are no listing fees. Our revenue model is based on transaction fees rather than upfront costs, so we only earn when our users successfully complete transactions on the platform.

17.2. Service fees

Sisu Talents charges a 5% service fee to both Sellers and Buyers for each transaction. The service fee is calculated on the listing price plus any applicable VAT on that price. Applicable VAT is then added to each service fee according to law.

For example, if a Buyer purchases a Task priced at €100 with no VAT applicable (for instance, a common EU business-to-business reverse-charge case):

  • The Seller pays a 5% fee (€5), receiving €95
  • The Buyer pays a 5% fee (€5) on top of the Task price, paying a total of €105

Where VAT applies, both the VAT and the corresponding fees are calculated and displayed at checkout before you pay. These fees cover secure payment processing, platform development and maintenance, customer support, dispute resolution, fraud prevention, and marketing of the platform.

17.3. Currency

Sisu Talents operates exclusively in Euros (€). Any currency conversion fees charged by your bank or payment provider are your responsibility. We do not provide currency conversion services or compensate users for fluctuations in exchange rates.

17.4. Payment processing

Payments are processed through our secure payment system, which integrates WooCommerce and Stripe. Stripe may require you to verify your account when making a purchase or creating a listing. By using our payment system, you agree to comply with all applicable payment processor terms and conditions, including Stripe’s terms of service.

17.5. Payment timing

All Tasks, Job Posts, requests, and Custom Offers must be paid for upfront at the time of purchase. Funds are held securely during the Order process and are released to the Talent only when the Order is completed and there are no ongoing Disputes, subject to any applicable payout delay.

17.6. Withdrawals

Talents can withdraw their earnings from their Sisu Talents account. The minimum withdrawal amount is €25. Withdrawals are processed via Stripe Express and may be subject to Stripe’s processing times and any applicable fees. Withdrawal requests are typically processed within 3–5 business days, though processing times may vary. Sisu Talents is not responsible for delays caused by payment processors, banks, or other financial institutions.

17.7. Invoicing

Sisu Talents automatically generates invoices for completed Orders for the convenience of its users. Typically, three invoices are generated per completed Order: the Talent’s service invoice to the Buyer, Sisu Talents’ service-fee invoice to the Buyer, and Sisu Talents’ service-fee invoice to the Talent. Invoices are numbered using a continuous annual sequence as required by applicable EU and Maltese VAT rules. These invoices are provided for convenience only and do not constitute tax advice or official accounting documentation. Where a refund is granted, invoices are updated, voided, or annotated accordingly (see Section 11.4).

17.8. Taxes and reporting

Users are responsible for complying with all applicable tax laws and regulations, including reporting income earned through Sisu Talents to relevant tax authorities. Sisu Talents may provide transaction history and earning statements, but it is the user’s responsibility to maintain proper financial records for tax purposes. Talents are solely responsible for ensuring compliance with all applicable tax, VAT, and other fiscal regulations in their country of residence or the jurisdiction where their business is registered. Sisu Talents does not provide accounting, tax advisory, or legal services and will not file tax or VAT returns on your behalf.

17.9. Tax information and compliance (DAC7)

In accordance with EU Directive 2021/514 (DAC7), we are legally required to collect and report certain tax-related information about Sellers who earn income through the platform. This may include, but is not limited to, full legal name, date of birth (for individuals), address and country of residence, Tax Identification Number (TIN), business registration number (if applicable), bank account details, and transaction and payout history.

  • Use and retention of tax data. We collect this information solely to fulfil our legal obligations to the relevant tax authorities. By registering as a Seller, you agree to provide accurate and complete tax information upon request. We retain all tax-related data for a period of five (5) years following the end of the relevant reporting period, as required by DAC7 and national tax regulations. This retention period applies even if your account is closed or terminated.
  • Legal basis under GDPR. The processing and retention of your tax data is based on our legal obligation to comply with applicable laws (Art. 6(1)(c) GDPR). This overrides any request for deletion of tax-related data before the legally required retention period has ended.
  • Security and confidentiality. Your tax data is stored securely, with access strictly limited to authorized personnel.
  • Reporting obligations. We may be required to transmit your tax information to local or EU tax authorities, and will notify you of any such reporting in accordance with applicable law.

18. Referrals, Credits, and Wallet

Sisu Talents may offer referral and credit programs that allow users to earn promotional Credits, held in a Wallet on their account, which can be applied toward eligible purchases. This may include, for example, credits for referring a new user who joins and transacts on the platform, or promotional credits issued by Sisu Talents from time to time.

The following conditions apply to all Credits and referral rewards:

  • Credits have no cash value, cannot be exchanged for cash, and cannot be withdrawn. They may only be applied toward eligible purchases on the Site.
  • Credits are personal to your account, are non-transferable, and may be subject to an expiry date or a maximum value per transaction.
  • Referral rewards are earned only where the referred activity is genuine. Self-referrals, the creation of multiple or fake accounts, and any other abuse of a referral or credit program are prohibited.
  • Sisu Talents may modify, suspend, or discontinue any referral or credit program at any time, and may withhold, reduce, or revoke Credits or rewards obtained through fraud, abuse, or violation of these Terms.

Where Credits are applied to a purchase, service fees, VAT, and any remaining balance are calculated and displayed at checkout before you pay.

19. Alerts and Notifications

Sisu Talents offers optional Alerts so that users can be notified about relevant activity on the platform:

  • Job Alerts (for Talents). A Talent may subscribe to be notified when a Buyer publishes a Job Post matching their chosen categories, languages, and experience levels.
  • Talent Alerts (for Buyers). A Buyer may create one or more rules to be notified when a Talent publishes a Listing matching a chosen category and, optionally, language and experience level.

On-site notifications for matching Alerts are always delivered. Email notifications for Alerts are optional and can be turned on or off by the user. You may manage or delete your Alerts at any time through your account. Alerts are provided for convenience and Sisu Talents does not guarantee that every matching item will trigger a notification.

20. Security and Verification

20.1. Message monitoring

Sisu Talents may monitor messages sent on the platform to ensure compliance with these Terms and to detect and prevent fraudulent or abusive behavior. This monitoring is designed to identify attempts to circumvent the payment system, detect sharing of external contact information, identify harassment or other prohibited behavior, prevent fraud and scams, and assist in dispute resolution when necessary. We respect user privacy and limit monitoring to what is necessary to enforce these Terms and protect our users.

20.2. Identity verification

To maintain the security and integrity of our platform, we may ask users to verify their identity, which may include providing photos of government-issued identification documents or other forms of electronic identification. All personal information collected during this process is handled in accordance with our Privacy Policy and applicable data protection laws.

20.3. Verification requirements

If you are unable to verify your account when requested, Sisu Talents reserves the right to limit your account’s functionality or close it entirely. Account limitations due to verification issues may include restrictions on buying or selling, holds on fund withdrawals, limitations on messaging, restrictions on posting new listings or Job Posts, and, in severe cases, complete account suspension.

20.4. Reporting suspicious activity

Users are encouraged to report suspicious listings, services, or accounts using the report buttons provided throughout the Site or by contacting our support team directly. When reporting, please provide the username or Listing URL associated with the suspicious activity, a description of why you believe it is suspicious, and any supporting evidence.

21. Content Moderation, Notices, and Appeals

21.1. Content moderation

While Sisu Talents does not manually review each piece of content before it is published, we actively monitor the platform and will remove any content that violates our Terms when we become aware of such violations. Our approach includes automated systems that scan for prohibited content, human review of flagged or reported content, regular platform-wide reviews, and investigation of user reports and complaints.

21.2. Appeals process

If your content has been removed or your account has been suspended or terminated, you may file an appeal within 6 months of the action. Appeals should be submitted to our support team and should include your account information, the specific action you are appealing, an explanation of why you believe the action was taken in error, and any supporting evidence. We typically process appeals within 5–10 business days, and after reviewing your appeal, our decision is final and binding.

21.3. Notice of violations

When content is removed or an account is limited due to violations of these Terms, we will provide notice to the affected user, including the specific violation identified, the action taken, information about how to appeal if applicable, and steps that can be taken to remedy the situation, if available. Notices will be sent via the email associated with your account and may also appear as alerts within your account dashboard.

21.4. Repeated violations

Users who repeatedly violate these Terms may face escalating consequences, up to and including permanent account termination. For serious violations, particularly those involving illegal activity, harassment, or fraud, we reserve the right to immediately terminate accounts without prior warning.

22. Intellectual Property

22.1. Sisu Talents intellectual property

The Sisu Talents name, logo, trademarks, and all related graphics, icons, and service names are the exclusive property of Sisu Talents. Our website, including all of its content, features, and functionality, is owned by Sisu Talents and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not use the Sisu Talents name, logo, or other brand elements in any way that suggests partnership, endorsement, or affiliation without our explicit written permission.

22.2. License to use site

Subject to these Terms, Sisu Talents grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purposes. This license does not include the right to:

  1. Modify, reproduce, distribute, or create derivative works based on the Site or its content; b) Use any data mining, robots, or similar data gathering and extraction methods; c) Download any portion of the Site except as expressly permitted; d) Use the Site or its content for any commercial purpose other than as explicitly authorized by these Terms; e) Use the Sisu Talents name, logo, or trademarks without our prior written consent; f) Remove or alter any copyright, trademark, or other proprietary notices; g) Transfer your account or user credentials to another person; h) Access the Site for the purpose of building a competitive product or service; i) Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with other users’ use of the Site.

22.3. Feedback rights

By providing feedback, comments, or suggestions, you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, publish, distribute, and sublicense the feedback in any way and for any purpose without compensation or attribution to you. 23. User Generated Content and Ownership

23.1. User generated content

Sisu Talents is not responsible for any content uploaded or posted by users. By posting content on the Site, you represent and warrant that you own or have the necessary rights to the content; that it does not infringe upon the rights of any third party; that it complies with these Terms and all applicable laws; that it is not deceptive, misleading, offensive, or otherwise harmful; and that it does not contain any viruses, malware, or other harmful code. You retain ownership of your content, but you grant Sisu Talents a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute the content for the purpose of operating and promoting the platform.

23.2. Rights in deliverables

Unless explicitly stated otherwise in the Task description or a separate written agreement, upon completion of an Order and full payment, the Buyer receives all intellectual property rights and copyrights to the purchased deliverables, to the extent permitted by law. Sellers should clearly communicate any limitations on these rights in their listing descriptions before the Buyer places an Order.

23.3. Limitations on rights

Some listings may specify that the Buyer is purchasing only limited usage rights or a license to use the deliverables. In such cases, the deliverables may be restricted to personal use only, and commercial use may require the purchase of additional rights or licenses. These limitations must be clearly stated in the listing description before purchase. Both Buyers and Sellers should ensure they have a clear understanding of the rights being transferred or licensed before entering into an Order.

23.4. Intellectual property disputes

If a third party claims that content on Sisu Talents infringes their intellectual property rights, we will investigate the claim and may remove the content if the claim appears valid. Users who believe their content has been removed in error may file an appeal as described in Section 21.2. If you believe your intellectual property rights have been infringed by content on Sisu Talents, please contact us with a description of the intellectual property, the location of the infringing content, evidence of your ownership, your contact information, and a statement made in good faith and under penalty of perjury that you are authorized to act on behalf of the rights owner.

24. Warranties and Disclaimers

24.1. No warranties

The Site, its content, and all services provided by Sisu Talents are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Sisu Talents disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Site will always be available, uninterrupted, or error-free; that it will meet your specific requirements; that any services offered by Sellers will be of a particular quality; or that the Site is free from viruses or other harmful components. Users access and use the Site at their own risk.

24.2. Service availability

Sisu Talents does not guarantee that the Site will be uninterrupted, timely, secure, or error-free. We may occasionally perform scheduled maintenance, experience unplanned outages, update or modify features, restrict access to certain features, or suspend or terminate the Site entirely, with or without notice. While we strive to minimize disruptions, we are not liable for any inconvenience, loss, or damage resulting from service interruptions or changes.

24.3. User responsibility

By accessing and using the Site, you acknowledge that you do so at your own risk and are solely responsible for any damage to your computer system or loss of data that results from your use of the Site. Users are responsible for maintaining appropriate security measures, verifying the suitability of services before purchase, exercising due diligence when interacting with other users, backing up important data, scanning downloaded files, and complying with all applicable laws.

25. Limitation of Liability

25.1. Liability exclusions

To the maximum extent permitted by law, Sisu Talents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or in any way connected with your use of the Site. We specifically disclaim liability for the actions or omissions of users, content posted by users, transactions and disputes between users, loss of revenue or data, damage to reputation, business interruption, technical failures, unauthorized access to accounts, and errors or inaccuracies in the Site content. This limitation applies regardless of the theory of liability.

Without limiting the above, Sisu Talents is not liable for any loss of income or for any hours or words invoiced under a Contract between a Talent and a Buyer. Sisu Talents acts solely as a tool between the two parties and is not a party to the actual contract.

25.2. Liability cap

If, despite the other provisions of these Terms, Sisu Talents is found to be liable to you for any damage or loss connected with your use of the Site, Sisu Talents’ liability shall in no event exceed the greater of (a) the total of any fees paid by you to Sisu Talents in the six months prior to the event giving rise to the liability, or (b) €100. This cap applies to all claims, represents the maximum aggregate liability of Sisu Talents, is not intended to limit remedies that cannot be lawfully limited, and does not apply to claims arising from intentional misconduct.

25.3. Exceptions

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to you. If you are a consumer and reside in a jurisdiction with mandatory consumer protection rights that cannot be limited by contract, nothing in these Terms is intended to limit those rights.

26. Account Closure and Termination

26.1. Termination by Sisu Talents

Sisu Talents reserves the right to suspend or terminate your account at any time for any breach of these Terms or for any other reason deemed appropriate by Sisu Talents in its sole discretion. Reasons for suspension or termination may include violation of these Terms, fraudulent or illegal activity, persistent low-quality service or negative reviews, harassment of other users, creation of multiple accounts, attempts to circumvent the payment system, extended inactivity, or a request from law enforcement or regulatory authorities.

26.2. Termination by user

You may delete your account at any time through your account settings. Account deletion does not relieve you of the obligation to pay any outstanding fees or to deliver any pending Orders or Contracts. When you delete your account, your profile will no longer be visible to other users, your active listings will be removed, and you will no longer have access to your account history or messages. We may retain certain information even after account deletion as required by law or for legitimate business purposes, such as fraud prevention, dispute resolution, or tax reporting (see Section 17.9).

26.3. Effect of termination

Upon termination of your account, your right to use the Site and its services will immediately cease. Sisu Talents is not liable to you or any third party for termination of your account or access to the Site. If you have funds in your account at the time of termination, the handling of these funds will depend on the circumstances of the termination. In cases of violation-related termination, funds may be held or forfeited according to applicable laws and the severity of the violation.

26.4. Survival

All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, confidentiality obligations, dispute resolution provisions, payment obligations, warranty disclaimers, limitations of liability, and indemnification obligations.

27. Changes to Terms

Sisu Talents reserves the right to modify or replace these Terms at any time. The most current version of the Terms will be posted on the Site with the last updated date. When we make material changes, we may display a notice on the Site, send an email notification to registered users, or require acknowledgment of the new Terms upon login. Your continued use of the Site after any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you should discontinue your use of the Site and close your account.

28. Governing Law and Dispute Resolution

28.1. Governing law

These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the European Union and the specific member state in which Sisu Talents is registered, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

28.2. Dispute resolution

Any dispute arising out of or relating to these Terms or your use of the Site shall first be resolved through good-faith negotiations between the parties. If such negotiations fail to resolve the dispute within 30 days, either party may refer the dispute to mediation under the rules of a recognized mediation body. The costs of mediation will be shared equally between the parties unless otherwise agreed.

28.3. Arbitration

If mediation does not resolve the dispute within 60 days, the dispute shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration body. The arbitration shall take place in Malta, where Sisu Talents is registered, and the language of the arbitration shall be English. By agreeing to these Terms, you are waiving your right to trial by jury or to participate in a class action lawsuit regarding any arbitrable disputes.

28.4. Small claims

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court’s jurisdiction, on an individual basis and subject to the rules of the relevant court.

29. General Provisions

29.1. Entire agreement

These Terms, together with the Contracts – Terms & Conditions and our Privacy Policy, constitute the entire agreement between you and Sisu Talents regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral.

29.2. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced with a valid provision that most closely matches the intent of the original.

29.3. No waiver

The failure of Sisu Talents to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Sisu Talents.

29.4. Assignment

You may not assign or transfer these Terms or your rights under these Terms without Sisu Talents’ prior written consent. Sisu Talents may assign or transfer these Terms without your consent.

29.5. Force majeure

Sisu Talents shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, civil unrest, government action, labor disputes, or internet service provider failures or delays.

30. Acknowledgement

By using the Sisu Talents platform, you acknowledge that you have read these Terms and Conditions, understand them, and agree to be bound by them. If you do not understand or do not agree to be bound by these Terms and Conditions, you must immediately cease using the Site. These Terms represent a binding legal agreement between you and Sisu Talents, and your continued use of the Site indicates your ongoing acceptance of these Terms, including any updates or modifications that may be made from time to time.
